Terms and Conditions
1. Payment Terms. All payments are required to be made by Advertiser in full in advance of launch. Payments are non-refundable other than as expressly described in Section 3, below.
2. Advertiser Authority. Advertiser represents and warrants to Beyondish that it has full rights and authority to the publish the contents of its advertisement and that, without limiting the generality of the foregoing, the advertisement does not violate any trademark, copyright or other intellectual property rights of any person or entity.
3. Rejection or Discontinuation. All advertising is subject to all federal, state, and local laws and regulations and may be rejected or discontinued by Beyondish at any time for any reason or no reason with or without prior notice. If an advertisement is rejected or discontinued by Beyondish prior to the end of the agreed term, Beyondish will refund to Advertiser amounts previously paid by the Advertiser for the agreed term (pro-rated for the time, if any, that the advertisement appeared).
4. Nondiscrimination. Beyondish does not discriminate in any way, including not on the basis of race, ethnicity, or sexual orientation, and Advertiser represents and agrees that it also does not discriminate on any basis.
5. Indemnification. In the event of any claims, actions or proceedings brought by any third parties as a result of, relating to, or arising from the advertisement, Advertiser will indemnify and hold harmless Beyondish and its owners, employees, contractors, and agents from and against any and all losses, liabilities, obligations, costs, penalties, fees and expenses (including reasonable attorneys’ fees) as a result of, relating to, or arising in connection with any such claim, action or proceeding.
6. Limitation on Liability. Beyondish makes no representations or warranties of any kind with respect to itself, its business, its website, its viewership, its advertisers, or any other matter, and Advertiser acknowledges and agrees that Beyondish will have no liability to Advertiser with respect to any matter related to this Agreement including, without limitation, any of the foregoing.
7. Renewal. Renewal of the term of the advertisement will be solely in the discretion of Beyondish and Beyondish makes no representations, guarantees or agreements regarding renewal.
